# How can you use generative AI safely in contract management?

![Picture of Bigle](https://blog.biglelegal.com/hs-fs/hubfs/Bigle_Isotipo.webp?width=50&name=Bigle_Isotipo.webp) By  [Bigle](https://blog.biglelegal.com/en/author/bigle)  ·   7 minute read

To use generative AI safely in contract management, you need to review every output before using it, work with contracts only in secure, controlled environments, define in writing who is accountable for each output, and comply with applicable regulations, starting with data protection law. **Final responsibility always lies with the lawyer.**

Using AI safely does not mean using it less, but **knowing what it does well, where it can fail, and what the consequences of a failure are**. In legal departments, adoption is no longer up for debate; what is at stake now is how AI is used, and that question is no longer answered by each team alone: courts have begun to sanction misuse and lawmakers to set the rules.

## **What does it mean to use AI safely in Contract Lifecycle Management (CLM)?**

Using AI safely in Contract Lifecycle Management (CLM) means **applying it within a framework that covers seven dimensions: human oversight, professional responsibility, confidentiality, data protection, regulatory compliance, internal governance, and data quality.** AI executes tasks; responsibility for each contract remains with the lawyer.

None of these dimensions is new to a legal department, but AI brings them into play all at once and at scale: **a single tool can process thousands of contracts in minutes, and any error in judgment is multiplied in the same proportion.**

- ### **Human oversight**

**Human oversight means defining at which points in the contract lifecycle the lawyer steps in and at what level of detail, always in proportion to the risk:** a standard NDA does not require the same review as a supply agreement with a strategic vendor.

- ### **Professional responsibility**

The lawyer's ethical and civil liability is not transferred to the tool, and bar associations in Spain and several Latin American countries have set this out in their AI usage guidelines. They all agree on the same principle: **the lawyer remains ultimately responsible for the content they submit or sign, whether or not it was generated by AI.**

- ### **Confidentiality and legal professional privilege**

Contracts concentrate commercial and strategic information, often subject to confidentiality clauses with third parties, so **entering them into a tool with no guarantees on how they are stored can amount to both a breach of contract and a breach of legal professional privilege.**

- ### **Data protection**

**Using AI on contracts that contain personal data is data processing subject to each country's laws**, whether the GDPR in Spain and the EU or national laws in Latin America. With some nuances, they all require a legal basis, an agreement with the vendor on how it processes the data, control over international transfers, and limiting the tool's access to what it needs.

- ### **Regulatory compliance**

The use of AI in contract management is already subject to legal obligations in Europe and is beginning to be in Latin America, with a common approach based on risk and human oversight.

- ### **Internal governance and traceability**

Governance turns all of the above into operational rules (approved tools, permitted information, tasks that can be delegated, and owners for each output) and also requires traceability, meaning the ability to reconstruct what the AI did, on which document, and who validated the output.

- ### **Data quality**

AI works with the information it receives, so **if the repository contains outdated templates or unclassified contracts, the tool will reproduce those problems faster and with an appearance of accuracy.**

## **What does regulation require for the use of AI in contract management?**

Today, regulation requires three things from any company using AI in contract management: effective human oversight of outputs, compliance with data protection rules, and adequate training for the staff who use the tool. **The framework varies by country, but the direction is the same.**

- ### **European Union**

The EU Artificial Intelligence Act classifies systems by risk level, and **most uses in contract management are not high-risk, which does not exempt them from obligations**: the bans on unacceptable-risk practices and the AI literacy obligations have applied since February 2025. The high-risk rules, however, have been delayed, as the provisional agreement on the Digital Omnibus postpones their application to 2027 and 2028.

**In practice, the regulation with the greatest impact on the use of AI on contracts today is still the GDPR**, because almost every contract contains personal data, while in **Spain, Instruction 2/2026 of the General Council of the Judiciary (CGPJ) also sets, for the judicial sphere, a principle of real, informed, and effective human control.**

- ### **Latin America**

The region is still building its framework: most countries regulate the use of AI through their data protection laws while debating specific rules.

| **Country** | **Data protection** | **AI regulation** |
| --- | --- | --- |
| Argentina | Law 25.326, with EU adequacy | No specific law; non-binding government recommendations |
| Brazil | LGPD (Law 13.709/2018) | Regulation underway: Bill PL 2338/2023 has been approved by the Senate and is pending in the Chamber of Deputies |
| Chile | Law 21.719, taking effect on December 1, 2026; a bill in the Senate proposes postponing it by one year | Regulation underway: bill under review in the Senate, with a risk-based approach |
| Colombia | Law 1581 of 2012 | No specific law, but regulation is underway through new bills in Congress; CONPES 4144 sets a public AI policy with no direct obligations for companies |
| Costa Rica | Law 8.968 | No specific law |
| Ecuador | Organic Law on Personal Data Protection | No specific law |
| Mexico | New Federal Law on the Protection of Personal Data Held by Private Parties | No general law; sector-specific regulation |
| Panama | Law 81 of 2019 | No specific law |
| Peru | Law 29.733 | Law 31814 and its implementing regulation, the only approved and fully regulated AI framework in the region |
| Uruguay | Law 18.331, with EU adequacy | No specific law |

### **What to do while the framework takes shape**

For a legal department operating in several countries, waiting for every piece of legislation to be finalized is not a strategy, especially when several initiatives in the region take the European model as a reference: the Chilean bill classifies AI uses into four risk categories, and the Peruvian regulation acknowledges that it was based on the precedents of the EU Artificial Intelligence Act. **That is why a practical option is to adopt the most demanding standard as the internal benchmark and apply it across all jurisdictions.**

## **What real cases of errors in the use of AI have had legal consequences?**

**The best-documented real cases of errors in the use of AI with legal consequences involve fake case law and legal doctrine citations submitted without verification.** In 2026, courts in Spain and Chile sanctioned lawyers for this reason, with fines and even a one-month suspension from practice.

In February 2026, the High Court of Justice of the Canary Islands sanctioned a lawyer for an appeal containing 48 fake case law citations generated with AI; in April, the Supreme Court of Chile suspended a lawyer for one month for citing a non-existent work in a cassation appeal; and in July, the High Court of Justice of Galicia fined another lawyer €1,800 for an appeal with 24 fake citations. According to FTI Technology, 40.7% of general counsel see undetected hallucinations as their main concern about generative AI.

**In all three cases, the tool did not fail in an obvious way: the citations were correctly formatted and fit the argument, and it is precisely that appearance of accuracy that makes an AI error harder to detect than a human one.**

### **What errors can AI make in a contract?**

In a contract, AI can extract an incorrect amount or date, summarize a clause incorrectly, or suggest wording that does not meet the company's standards. Unlike a fake citation before a court, these errors often go unnoticed until they generate a cost.

An incorrectly extracted renewal date goes undetected until the contract renews without the company wanting it to, because in contract management there is no judge reviewing the work: **control has to be built into the process itself.**

> How generative AI works, what it does well, and how to get the most out of it without losing control of the output is explained in detail in the[ebook Generative AI: From Revolution to Responsible Practice in the Legal Function.](http://www.biglelegal.com/lpeng/generative-ai-from-revolution-to-responsible-practice-in-the-legal-function)

## **Why is confidentiality the least visible risk in contract management?**

Confidentiality is the least visible risk in contract management because it stems from an everyday action: for example, copying a contract into a general-purpose chatbot. **The information leaves the lawyer's control, ends up on third-party servers, and can compromise legal professional privilege.**

According to Verizon, **67% of people who use AI at work do so with personal accounts.**

Courts have already ruled on this: in November 2025, the UK Upper Tribunal warned that copying client information into ChatGPT is equivalent to placing it in the public domain and waiving legal professional privilege, and in February 2026 a New York federal judge ruled that documents generated with the public version of a chatbot, based on information from the lawyers, were not protected by legal professional privilege.

## **What safeguards should an AI-powered CLM provide?**

An AI-powered CLM should provide six security safeguards:

1. ISO 27001 certification.
2. Data encryption in transit and at rest.
3. Servers hosted in the EU.
4. GDPR compliance.
5. Regular cybersecurity audits.
6. A commitment not to use client data to train models outside the client's environment.

**These safeguards are the starting point for any vendor assessment, not a differentiator**, and it is worth requesting them in writing, especially the sixth, which is the one least often asked about. Where the AI operates also matters: when it is built into the CLM, it works on contracts in the same environment where they are managed, without exporting them, and keeps a record of every action.

This is Bigle's approach: its legal AI, Bigle Libra, is connected to Bigle CLM and takes part in the review, analysis, and day-to-day management of contracts, with data encrypted and hosted on EU servers, and with review and the final say always in the lawyer's hands.

## **How do you define a policy for the use of AI in contract management?**

To define a policy for the use of AI in contract management, follow five steps:

1. Choose the approved tools.
2. Set out what information can be entered into them.
3. Separate the tasks that can be delegated from those that require legal judgment.
4. Assign an owner to review each output.
5. Train the team and review the policy regularly.

**Without a written policy, each person applies their own judgment and risk is spread unevenly.** According to IBM, **68% of organizations that suffered a breach had no governance in place to detect unauthorized AI use**. In addition, banning tools without offering an alternative tends to drive undisclosed use, so the most effective approach is to give the team a secure tool for working with contracts.

## **Frequently asked questions about the safe and responsible use of AI in contract management**

### **Can a general-purpose chatbot be used to review contracts?**

Using a general-purpose chatbot to review contracts containing confidential information is not recommended. The data leaves the lawyer's control and can compromise legal professional privilege, so it is safer to work in a controlled environment, without contracts leaving the platform where they are managed.

### **Which contract management tasks can be delegated to AI?**

In contract management, mechanical, high-volume tasks can be delegated to AI: extracting data, classifying documents, filling in fields, and drafting first versions from approved templates. Decisions that require legal or business judgment remain with the lawyer.

### **How do you verify an AI-generated output in a contract?**

An AI-generated output in a contract is verified by checking it against the original document before using it. Verification is a priority for amounts, deadlines, renewals, and limitations of liability, because an error in that data has a direct financial impact.

### **Does the EU AI Act apply to contract management?**

Yes, the EU AI Act applies to any company using AI systems in the EU, including in contract management. Most of these uses are not considered high-risk, but that does not exempt them from obligations: AI literacy obligations have applied since February 2025, and the GDPR continues to govern the processing of the personal data that contracts contain.

### **What is AI literacy and who does it apply to?**

AI literacy is the obligation to ensure that staff who use AI systems have sufficient knowledge to do so with sound judgment: understanding how these systems work, what risks they carry, and how to review their outputs. It applies both to those who develop AI systems and to the companies that use them, so it includes legal departments that use AI in their contracts.

Want to use AI in contract management with every safeguard in place? At Bigle, we'll show you how, with encrypted data and review always in the lawyer's hands.
